The SEC secured a final consent judgment against Red Rock Secured, Sean Kelly, Anthony Spencer, and Jeffrey Ward for defrauding over 700 investors of more than $50 million. The defendants were charged with violating antifraud provisions of the Securities Exchange Act of 1934 and the Investment Advisers Act of 1940. The total judgment requires the payment of over $76.4 million in disgorgement, interest, and civil penalties.
The SEC obtained a final judgment against Red Rock Secured (now American Coin Co.) and executives Sean Kelly, Anthony Spencer, and Jeffrey Ward for a scheme targeting retirement account holders. Between 2017 and 2022, the defendants used false statements to solicit investors to move funds from 401(k)s and IRAs into gold and silver coins. While they promised markups of only 1 to 5 percent, they actually charged as much as 130 percent. The scheme defrauded at least 700 investors of more than $50 million. The final judgment orders the defendants to pay over $76.4 million in disgorgement, interest, and penalties. Additionally, CEO Sean Kelly is permanently prohibited from serving as an officer or director of a public company.
