United States v. PAWANPASSI
Pawan Passi entered a deferred prosecution agreement to resolve securities fraud charges involving the unauthorized disclosure of confidential block trade information.
Pawan Passi admitted to securities fraud involving the disclosure of confidential equity block sale information to prospective buyers between 2018 and August 2021. He has already forfeited approximately $7.4 million in compensation from his former employer, which serves as the primary financial resolution. The agreement includes a six-month deferred prosecution period contingent upon his compliance with strict supervision terms and a parallel SEC civil settlement.
Pawan Passi entered into a Deferred Prosecution Agreement with the U.S. Attorney’s Office for the Southern District of New York to resolve allegations of securities fraud. Between 2018 and August 2021, Passi represented to sellers of large equity blocks that Morgan Stanley would maintain confidentiality, while intentionally disclosing that information to prospective buyers to facilitate front-running trades. As part of the resolution, Passi agreed to a parallel civil enforcement action with the SEC involving an injunction and financial penalties. While no new criminal monetary penalty was imposed, Passi has already forfeited approximately $7.4 million in compensation from his former employer due to the misconduct. The prosecution is deferred for six months, provided Passi adheres to strict conditions including lawful employment and reporting to a pretrial services officer. Upon successful completion of this period and compliance with all terms, the government will move to dismiss the criminal charges.

ODOGWU BANYE MMOBUOSI, a/k/a "Dozy Mmobuosi," Defendant.
COUNT ONE
(Conspiracy to Commit Securities Fraud, to Make False Filings with the SEC, and to Improperly Influence the Conduct of Audits)
The Grand Jury charges:
Overview of the Scheme
1. From at least in or about 2019 through in or about 2023, ODOGWU BANYE MMOBUOSI, a/k/a "Dozy Mmobuosi," the defendant, orchestrated a scheme to enrich himself by falsely representing that Nigerian companies he founded, Tingo Mobile and Tingo Foods, were operational, profitable businesses generating hundreds of millions of dollars in revenue respectively. MMOBUOSI, the defendant, then sold Tingo Mobile and Tingo Foods to companies listed in the United States, including Tingo Group (listed on Nasdaq as "TIO") and Agri-Fintech Holdings (traded in the OTC Markets under symbol "TMNA"), and thereafter falsely inflated the share prices of those entities by causing them to issue financial statements that falsely portrayed Tingo Mobile and Tingo Foods to be cash-rich, revenue-generating companies when, in fact, they were not. MMOBUOSI then looted Tingo Group and Agri-Fintech by misappropriating cash from those companies, and engaged in well-timed sales of their shares at inflated prices, generating millions of dollars of profits from his scheme.
