To encourage early voluntary self-disclosure of criminal conduct and to promote effective

summary

The SDNY has launched a Whistleblower Pilot Program offering non-prosecution agreements to individuals who voluntarily disclose corporate fraud or bribery.

paragraph

The Southern District of New York (SDNY) implemented a pilot program to incentivize the voluntary self-disclosure of criminal conduct involving fraud, market integrity, or bribery. Eligible individuals may receive a non-prosecution agreement in exchange for providing substantial assistance in the investigation of more culpable parties. The policy does not specify fixed dollar amounts but targets misconduct within financial institutions, investment funds, and public or private companies.

narrative

The United States Attorney’s Office for the Southern District of New York (SDNY) has established a Whistleblower Pilot Program to encourage the early voluntary self-disclosure of criminal conduct. The program targets information regarding fraud, corporate control failures, market integrity issues, and bribery involving federal, state, or local funds. Under the policy, eligible individuals may enter into non-prosecution agreements if they provide substantial assistance in prosecuting more culpable persons and disclose all their own involvement. To qualify, the disclosure must be voluntary and previously unknown to the government, and the individual must not be a high-ranking official or have a history of violent or dishonest crime. Certain exclusions apply, such as violations of the Foreign Corrupt Practices Act or campaign finance laws. Prosecutors retain discretion to extend agreements even when specific criteria are not met, based on factors like the individual's criminal history and the public interest.

UNITED STATES OF AMERICA : SEALED INDICTMENT

ODOGWU BANYE MMOBUOSI, a/k/a "Dozy Mmobuosi," Defendant.

COUNT ONE

(Conspiracy to Commit Securities Fraud, to Make False Filings with the SEC, and to Improperly Influence the Conduct of Audits)

The Grand Jury charges:

Overview of the Scheme

1. From at least in or about 2019 through in or about 2023, ODOGWU BANYE MMOBUOSI, a/k/a "Dozy Mmobuosi," the defendant, orchestrated a scheme to enrich himself by falsely representing that Nigerian companies he founded, Tingo Mobile and Tingo Foods, were operational, profitable businesses generating hundreds of millions of dollars in revenue respectively. MMOBUOSI, the defendant, then sold Tingo Mobile and Tingo Foods to companies listed in the United States, including Tingo Group (listed on Nasdaq as "TIO") and Agri-Fintech Holdings (traded in the OTC Markets under symbol "TMNA"), and thereafter falsely inflated the share prices of those entities by causing them to issue financial statements that falsely portrayed Tingo Mobile and Tingo Foods to be cash-rich, revenue-generating companies when, in fact, they were not. MMOBUOSI then looted Tingo Group and Agri-Fintech by misappropriating cash from those companies, and engaged in well-timed sales of their shares at inflated prices, generating millions of dollars of profits from his scheme.
