paragraph

The U.S. Securities and Exchange Commission (SEC) reduced registration fees from $117.70 to $107.00 per million (a 9.1% decrease) and transaction fees from $41.80 to $30.70 per million (a 26.6% decrease), effective November 27 and December 22, 2005, respectively. These adjustments were required by law under H.R. 2862 and followed consultation with the Congressional Budget Office and Office of Management and Budget. No fraud, charges, or financial penalties are associated with this notice—it is a standard administrative update to align fees with statutory funding requirements.

narrative

The U.S. Securities and Exchange Commission (SEC) issued a public notice on November 23, 2005, announcing scheduled reductions in filing and transaction fee rates for fiscal year 2006, as mandated by Congress through the passage of H.R. 2862. Registration fees for securities filings were lowered from $117.70 to $107.00 per million, a 9.1% decrease, effective November 27, 2005, while transaction fees under Section 31 were reduced from $41.80 to $30.70 per million, a 26.6% decrease, effective December 22, 2005. Filings submitted before specific cutoff times on November 25, 2005, were subject to the old rates, while later submissions were deemed filed on the next business day under the new rates. These adjustments were part of the SEC’s annual statutory obligation to align fee rates with projected revenue and congressional appropriations, following consultation with the Congressional Budget Office and Office of Management and Budget. The SEC emphasized that the changes would not affect its overall funding level, as fees are set to cover operational costs. No misconduct, enforcement action, or accused party is referenced; the notice is purely administrative and informational. The Commission also noted that future fee adjustments for fiscal year 2007 would be announced no later than April 30, 2006, and that additional notices would be posted on its website to ensure public awareness.
