The SEC and the U.S. Department of Justice filed a joint brief in U.S. District Court supporting the constitutionality of the Public Company Accounting Oversight Board (PCAOB) in the case Free Enterprise Fund v. PCAOB. The challenge argued that the PCAOB’s insulated appointment and removal provisions violated the Appointments Clause and separation of powers, but the government contended its structure was lawful and essential for independent audit oversight.
