Seth P. Levine, president and owner of Norse Holdings, LLC, raised millions of dollars from over 60 investors from February 2015 to August 2019 by selling membership interests in LLCs that purportedly owned profitable apartment complexes. Levine allegedly used false financial statements, forged operating agreements, and commingled investor funds to mask Norse Holdings' financial problems and fund a related mortgage fraud scheme. The SEC charged Levine with violating Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act, and Rule 10b-5.
The SEC charged Seth P. Levine, president and owner of Norse Holdings, LLC, with defrauding over 60 investors, mostly from the Orthodox Jewish community, by selling membership interests in LLCs that purportedly owned profitable apartment complexes. From February 2015 to August 2019, Levine raised millions of dollars using false documents, forged agreements, and commingled funds to mask financial problems and fund a related mortgage fraud scheme. The complaint alleges that Levine provided investors with false financial information, sold overlapping ownership interests, and paid returns with proceeds from the mortgage fraud. Levine has agreed to settle the civil charges, which will permanently enjoin him from future violations of federal securities laws. The court will later determine the amounts of disgorgement, prejudgment interest, and civil penalties. The SEC's complaint charges Levine with violating the antifraud provisions of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Levine has agreed to settle the charges against him. The settlement, which is subject to court approval, would permanently enjoin Levine from violating the charged provisions of the federal securities laws and provides that the court will decide the amounts of disgorgement, prejudgment interest, and civil penalties at a later date.
