The Securities and Exchange Commission successfully obtained a consent judgment against Keith A. Rosenbaum in the U.S. District Court for the Northern District of Texas. Rosenbaum consented to the court's jurisdiction and the entry of the judgment without admitting or denying the allegations of fraud and market manipulation. The judgment permanently enjoins him from violating the Securities Act of 1933 and the Exchange Act of 1934 through deceptive practices or false statements. Under the terms of the decree, Rosenbaum is ordered to pay disgorgement of ill-gotten gains, prejudgment interest calculated from April 18, 2023, and a civil penalty. The specific monetary amounts for these sanctions will be determined by the court following a motion by the Commission. Additionally, the judgment prohibits him from engaging in schemes to deceive investors regarding the price or trading market of any security.
